Terms of Service
1. Introduction
1.1. NR Flowers UK Ltd, trading as Steelgrass ("Company," "we," "our," or "us"), is a company registered in England under company number 14026165.
1.2. These Terms of Service ("Terms") govern the provision of our products and services, including but not limited to bespoke preserved plant installations, corporate gifting, and workshops ("Services").
1.3. By placing an order with us, you (the "Client") agree to these Terms.

2. Definitions
2.1. "Client" refers to any individual, company, or entity purchasing or using our Services.
2.2. "Products" refers to any preserved plants, trees, floral arrangements, or related items provided by Steelgrass.
2.3. "Services" refers to the design, supply, and installation of our Products, as well as workshops and corporate gifting.

3. Orders & Contracts
3.1. Orders must be confirmed in writing, including via email, signed proposals, or purchase orders.
3.2. Quotations are valid for 30 days from the date of issue and are subject to change thereafter.
3.3. We reserve the right to refuse or cancel orders at our discretion.
3.4. If an ordered item is unavailable, we reserve the right to substitute it with a similar or superior product of equal or greater value. Any such substitutions will be communicated to the Client in advance where possible.

4. Pricing & Payment
4.1. Prices are determined based on project specifications and will be confirmed in writing before order acceptance.
4.2. All prices are exclusive of VAT unless stated otherwise.
4.3. Payment terms will be detailed in the quotation or invoice. Deposits may be required.
4.4. Late payments may incur interest at the rate of 8% per annum above the Bank of England base rate. Payment is due within 14 days of the invoice date unless otherwise agreed in writing.

5. Delivery & Installation
5.1. Delivery and installation timelines will be agreed upon in advance. We shall not be liable for delays caused by events beyond our reasonable control, including but not limited to, force majeure events.
5.2. The Client is responsible for ensuring the site is accessible and prepared for installation and for obtaining all necessary permits and permissions.
5.3. Risk in the Products passes to the Client upon installation or delivery, whichever is earlier.

6. Returns, Cancellations & Refunds
6.1. As our Products are bespoke, all sales are final, and returns are not accepted unless the Products are faulty.
6.2. Any issues with Products must be reported within 7 days of delivery or installation.

7. Maintenance & After-Sales Care
7.1. Once delivered or installed, responsibility for maintenance of preserved plants is passed on to the Client.
7.2. Proper care guidelines must be followed to ensure longevity:

Do not water preserved plants.

Keep away from direct sunlight and heated elements.

Keep indoors at a stable humidity level of 40-60%.

Avoid touching or rubbing the plants, as this may cause damage.

Only use a light dusting method with a feather duster to clean the plants.

8. Intellectual Property
8.1. All designs, concepts, and marketing materials remain the intellectual property of Steelgrass.
8.2. We reserve the right to use images of completed installations for promotional purposes unless agreed otherwise.

9. Liability & Warranties
9.1. We provide no warranties beyond those expressly stated.
9.2. Our liability for any claim shall not exceed the price paid for the relevant Products or Services.
9.3. We are not liable for indirect, consequential, or financial losses arising from the use of our Products or Services.

10. Confidentiality & Data Protection
10.1. We comply with UK GDPR regulations in handling Client data.
10.2. Personal and business data will be processed in accordance with our Privacy Policy.

11. Amendments to Terms
11.1. We reserve the right to update these Terms at any time. Clients will be notified of significant changes.

12. Governing Law & Jurisdiction
12.1. These Terms are governed by the laws of England and Wales.
12.2. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
